Teilnahmebedingungen für das Conrad-PRO-Programm für Geschäftskunden (B2B)
Stand: 13. September 2026Teilnahmebedingungen für das Conrad-PRO-Programm für Geschäftskunden (B2B) („Teilnahmebedingungen“)
Version 2, Stand 13.09.2026der Conrad Electronic SE, Klaus-Conrad-Str. 1, 92242 Hirschau, Deutschland („Conrad“)
3.4.1. Abweichend von Ziff. 2.1 lit. (a) und lit.
3.6.3. Das Rückgaberecht gilt nicht für
a) Ware, die das Mitglied in einem physischen Verkaufsgeschäft gekauft hat;
b) als gebraucht verkaufte Ware;
c) als neu verkaufte Ware, die zum Zeitpunkt der Inbesitznahme unbenutzt, unbeschädigt und vollständig war, dies aber nun nicht mehr ist (wobei auch die Inbetriebnahme, der Einbau, der Aufbau eines Bausatzes oder das Öffnen einer objektiv erforderlichen Schutzhülle oder Versiegelung die Eigenschaft als benutzt begründet, nicht aber das bloße Öffnen einer Umverpackung zur Prüfung der Ware auf offensichtliche Mängel);
d) Ware, bzgl. derer das Mitglied vor dem Kauf auf den Ausschluss des Rückgaberechts hingewiesen wurde (mit oder ohne Angabe eines Grundes für den Ausschluss des Rückgaberechts);
e) Ware, die online heruntergeladen wurde;
f) Ware, die nach Spezifikation des Mitglieds angefertigt oder konfiguriert wird (einschließlich aus Standardkomponenten, wie z. B. individuell konfigurierte Hardware mit oder ohne Softwareinstallationen);
g) Meterware (für das Mitglied zugeschnittene Kabel etc.);
h) unvollständige Packs, d. h. eine Zusammenstellung mehrerer, in der Regel ähnlicher oder zueinander passender, Produkte, die zu einem Gesamtpreis verkauft werden;
i) Apple BTO (Built-to-Order)-Geräte und Apple CTO (Configure-to-Order)-Geräte; und
j) kalibrierte Geräte.
a) das Mitglied mit fälligen Zahlungen trotz Mahnung und Setzung einer angemessenen Frist in Verzug ist;
b) das Mitglied gegen Ziff. 6 verstößt;
a) gegenüber verbundenen Unternehmen des Mitglieds, soweit das Mitglied sicherstellt, dass die verbundenen Unternehmen zur selben Vertraulichkeit verpflichtet sind wie das Mitglied selbst (wobei das Mitglied für etwaige Verstöße seiner verbundenen Unternehmen gegen die Vertraulichkeitspflicht wie für eigene Verstöße einzustehen hat);

Terms and Conditions for the Conrad PRO Program for Business Customers - eng
Effective from: 13 September 2026Terms and Conditions of Participation in the Conrad PRO Programme for Business Customers (B2B) (“Terms and Participation”)
Version 2, as of 13 September 2026of Conrad Electronic SE, Klaus-Conrad-Str. 1, 92242 Hirschau, Germany (“Conrad”)
In the interest of easier readability, the simultaneous use of masculine, feminine or other gender forms has been avoided. All personal or possessive pronouns or other references apply to all genders.
1. Scope of Application of these Terms of Participation
1.1. These Terms of Participation shall apply to the contractual relationship regarding participation in the Conrad PRO Programme ("Participation Agreement") between Conrad and the participant ("Member"). The subject matter of the Participation Agreement is the granting of access to the benefits described in Sec. 3 ("PRO Benefits"). The Participation Agreement is not a Purchase Agreement for Goods.
1.2. These Terms of Participation shall only apply if (i) the Member is a trader (Unternehmer) within the meaning of Sec. 14 of the German Civil Code (BGB), a legal entity under public law or a special fund under public law, and (ii) neither Conrad nor any affiliated entity of Conrad has concluded with the Member or with an affiliated entity of the Member an agreement on commercial terms (irrespective of how such agreement is designated) that applies beyond the respective individual Purchase Agreement and that applies (also) to Purchase Agreements for Goods between Conrad as seller and the Member as buyer.
1.3. All Purchase Agreements between Conrad and the Member shall be governed by Conrad's General Terms and Conditions of Delivery to Business Customers (B2B) as amended from time to time ("TCD"). These Terms of Participation are special terms and conditions within the meaning of Sec. 1.2 TCD. They shall take precedence over the TCD only if and to the extent that they contain an expressly deviating provision; in all other respects, the TCD shall continue to apply unchanged. Conrad is the Seller within the meaning of the TCD; the Member is the Customer within the meaning of the TCD. The terms defined in the TCD, in particular "Goods", "Purchase Agreement" and "Third Party", shall have the same meaning in these Terms of Participation as in the TCD, unless expressly defined otherwise in these Terms of Participation.
1.4. To the extent that the Member wants to utilise services offered by Conrad in addition to participation in the Conrad PRO Programme and the delivery of the Goods, additional special terms and conditions may apply thereto. In the event of any conflicts with these Terms of Participation, the relevant special terms and conditions shall take precedence.
1.5. Terms and conditions of the Member or of Third Parties, regardless of whether they deviate from, conflict with or supplement these Terms of Participation ("Other T&Cs"), shall only become a part of the contract to the extent that Conrad expressly consents to the application of such Other T&Cs in text form. Silence, the lack of objection while being aware of Other T&Cs and references to communications that contain or refer to Other T&Cs shall not constitute such express consent.
1.6. Conrad and the Member are each individually a "Party" and collectively the "Parties".
2. Conclusion of the Participation Agreement
2.1. The presentation of the Conrad PRO Programme, in particular on websites, in electronic catalogues or physical prospectuses, shall not constitute a legally binding offer. The Member submits a legally binding offer to conclude the Participation Agreement by completing the order process and clicking the "Order with obligation to pay" (Kostenpflichtig bestellen) button. The Participation Agreement shall be concluded upon receipt by the Member of a confirmation from Conrad in text form. Conrad may reject the offer without stating reasons. Sec. 2.1 TCD shall remain unaffected in respect of Purchase Agreements.
2.2. Participation requires that the Member fulfils the requirements of Sec. 1.2 and provides Conrad with an e-mail address. Conrad shall communicate the PRO Benefits available from time to time by e-mail to that address. This programme-related communication forms part of Conrad's contractual performance and ends upon termination of the Participation Agreement. Any transmission of promotional information going beyond this shall only take place subject to separate consent of the Member.
2.3. Conrad shall store the contract text and make it accessible to the Member upon request. The contract language is German.
2.4. The membership and the rights arising from it, including promotional codes for Members, are neither transferable nor assignable, unless expressly provided otherwise in these Terms of Participation or in the relevant promotion terms and conditions.
3. PRO Benefits
For the term of the Participation Agreement, the Member shall receive access to the PRO Benefits described in this Sec. 3 in accordance with Conrad's range of services valid from time to time. The following shall apply to the Long-Term Guarantee under Sec. 3.7: If the Member terminates the Participation Agreement under Sec. 4.3 with effect from the end of the Trial Period, the Long-Term Guarantee shall lapse at the end of the Trial Period; any other termination of the Participation Agreement shall leave the Long-Term Guarantee unaffected.
A claim to individual PRO Benefits shall exist only within the scope of the offers valid from time to time. Conrad shall endeavour to achieve the highest possible availability of the systems required for utilising the PRO Benefits, but does not owe uninterrupted availability. Conrad shall announce scheduled maintenance work in advance where possible.
Unless and except to the extent expressly provided otherwise below, the PRO Benefits shall apply only to Goods dispatched to the Member by Conrad or by an affiliated entity of Conrad. They shall not apply to Goods dispatched directly by a supplier or a Third Party, nor to third-party offers within the meaning of Sec. 2.2 TCD.
3.1. Special offers: CConrad shall grant the Member priority access to time-limited sales promotions and shall inform the Member thereof by e-mail in good time. Even where priority access is granted, there shall be no claim to the availability of particular Goods.
3.2 Exclusive discounts: Conrad shall grant the Member access to discounts and benefit coupons offered exclusively to Members.3.3. PRO special prices: Goods marked with the PRO label on https://www.conrad.de shall be offered to the Member at a price reduced compared to the regular sales price. The marking appears on the relevant product detail page. Additional fees, handling charges or taxes may be incurred for Goods marked with the PRO label; these shall be shown before the order is submitted. Sec. 3.1 TCD shall otherwise remain unaffected.
3.4. Price Guarantee: Conrad shall grant the Member the option to fix the sales price of Goods applicable at the time of reservation for thirty (30) calendar days from reservation ("Price Guarantee"). If the sales price of the reserved Goods shown on https://www.conrad.de falls within this period, the lower price shall apply.
3.4.1. Deviating from Sec. 2.1 lit. (a) and lit. (b) TCD, Conrad submits, upon confirmation of the reservation in text form, a legally binding offer to conclude a Purchase Agreement for the reserved Goods at the fixed price. Conrad shall be bound to this offer for thirty (30) calendar days from receipt of the confirmation by the Member (Sec. 145 of the German Civil Code (BGB)).
3.4.2. The Purchase Agreement shall be concluded if the Member accepts the offer within the period under Sec. 3.4.1 by completing the order process using the reserved price. The Member shall be under no obligation to purchase.
3.4.3. Upon expiry of the period under Sec. 3.4.1, Conrad's commitment shall lapse. The sales price shown on https://www.conrad.de from time to time shall then apply.
3.4.4. The Price Guarantee is subject to the availability of the Goods. The reservation of the price does not constitute a reservation of the Goods.
3.4.5. Conrad may exclude individual product groups, in particular storage products as well as PC and server components, from the Price Guarantee. The excluded product groups shall be shown on https://www.conrad.de. Reservations already confirmed shall remain unaffected.
3.5. Delivery terms: Deviating from Sec. 3.1 TCD, Conrad shall not charge a flat-rate shipping fee for standard deliveries within Germany, irrespective of who dispatches the Goods. Conrad reserves the right to charge a small order surcharge for orders below a certain net order value; such surcharge shall, to the extent it is levied, be shown accordingly on the product detail page. Surcharges for bulky goods and other special surcharges shall remain unaffected. Details are set out in the list available at https:www.conrad.de/de/service/lieferung-und-abholung/lieferarten.html.
3.6. Right of return: Conrad offers the Member the option to return, without stating a reason, Goods purchased from Conrad, provided they are not excluded from the right of return by the following Sec. 3.6.3, in accordance with the following Sections ("Right of Return"). The Right of Return is a voluntary right of return within the meaning of Sec. 10 TCD.
3.6.1. To exercise the Right of Return, the Member shall, in the case of Goods dispatched by Conrad or by an affiliated entity of Conrad within thirty (30) calendar days, and in the case of Goods dispatched by a Third Party within fourteen (14) calendar days, in each case beginning on the day on which the Member or a Third Party designated by the Member, other than the transportation service provider, has taken possession of the Goods ("Takeover of Possession"),
(i) register the return at https://returns.parcellab.com/conrad/de/ (‘Returns Portal’) and
(ii) send the Goods to the return address stated on the return label issued by the Returns Portal (whereby the first scan of the return by the transportation service provider is decisive for compliance with the deadline, and the risk of return is borne by the Member).
The Right of Return shall lapse if the action required under (i) and/or (ii) is not taken within the aforementioned period.
3.6.2. In the event of a justified and proper exercise of the Right of Return, the Member shall receive a refund of the purchase price by the same means of payment where payment was made by credit card, advance payment or by an online payment service. Where payment was made by direct debit or where a purchase on account was made, a credit note shall be issued to the Member's Conrad customer account; such credit note shall be set off primarily against any outstanding and due claims of Conrad against the Member, and any remaining surplus shall be paid out after the Member has provided valid bank account details.
3.6.3. The right of return does not apply to
a) Goods purchased by the Member in a physical retail store;
b) Goods sold as used;
c) Goods sold as new that were unused, undamaged and complete at the time of the Takeover of Possession, but are no longer in the original condition (whereby the initial setup, installation, assembly of a kit or the opening of an objectively required protective cover or seal shall also result in the Goods qualifying as used, but not the mere opening of the outer packaging in order to inspect the goods for obvious defects);
d) Goods for which the Member was informed of the exclusion of the Right of Return prior to the purchase (whether or not a reason for the exclusion of the Right of Return was stated);
e) Goods that have been downloaded online;
f) Goods that are manufactured or configured according to Member specifications (including from standard components, such as individually configured hardware with or without software installations);
g) Goods sold by the meter (cables cut to length for the Member, etc.);
h) incomplete packs, i.e. a compilation of several, usually similar or matching, products sold and priced as a unit;
i) Apple BTO (Built-to-Order) devices and Apple CTO (Configure-to-Order) devices; and
j) calibrated devices.
3.6.4. Before exercising the Right of Return, the Member shall remove all personal data stored on or contained in the Goods. In exercising the Right of Return, the Member agrees that ownership of the Goods shall be transferred to Conrad, and that it is within Conrad's sole discretion how to further proceed with the Goods (including re-sale).
3.6.5. In the event of a justified and proper exercise of the Right of Return, the costs of the return for standard deliveries within Germany shall be borne by Conrad where the Member uses the corresponding return label prepaid by Conrad and made available via the Returns Portal; otherwise, the costs of the return shall be borne by the Member.
3.6.6. The Member's rights under applicable law shall – subject to the conditions of, and in accordance with, the TCD, in particular Secs. 6 and 7 thereof – remain in full force and shall not be affected by these Terms of Participation.
3.7. Long-term guarantee: In accordance with the following provisions of this Sec. 3.7, Conrad assumes vis-à-vis the Member a durability guarantee (Sec. 443 of the German Civil Code (BGB)) for new Goods for a period of thirty-six (36) months from the invoice date ("Long-Term Guarantee"); for wear parts, in particular rechargeable batteries, batteries and lamps, the guarantee period is six (6) months from the invoice date.
3.7.1. If the Goods show a defect within the guarantee period as a result of a manufacturing or material fault, Conrad shall, free of charge for the Member and at Conrad's discretion, remedy the defect, replace the Goods with defect-free Goods or refund the purchase price paid. Upon performance of any of the aforementioned alternatives, Conrad's obligations under the Long-Term Guarantee shall be fulfilled.
3.7.2. The Long-Term Guarantee shall not apply to the extent that the defect is based on improper handling, incorrect installation or failure to observe the operating instructions or the manual.
3.7.3. Conrad's obligations under the Long-Term Guarantee are limited to the legal consequences set out in Sec. 3.7.1. The Long-Term Guarantee shall not establish any further liability of Conrad, in particular no liability for loss of data, loss of profits or other consequential damage; it is not a guarantee within the meaning of Sec. 7.6 lit. (d) TCD. Sec. 8 shall remain unaffected.
3.7.4. The invoice shall serve as proof of guarantee. The guarantee period commences on the invoice date. The remedy of a defect or a replacement of the Goods shall not cause the guarantee period to commence anew.
3.7.5. To the extent that Conrad replaces Goods or refunds the purchase price under the Long-Term Guarantee, title to the returned Goods shall pass to Conrad as soon as Conrad receives the Goods; title to the replacement Goods shall pass to the Member as soon as the Member receives the replacement Goods.
3.7.6. The Long-Term Guarantee is available exclusively to the Member and is not transferable. It applies only to Goods delivered to a delivery address in Germany.
3.7.7. The Long-Term Guarantee is a separate guarantee provided by Conrad within the meaning of Sec. 6.1 sentence 2 TCD. The Member's statutory rights in the event of defects – subject to the conditions of, and in accordance with, the TCD, in particular Secs. 6 and 7 (whereby Secs. 6.4 and 6.5 shall not apply) – shall remain unaffected and shall exist irrespective of whether a guarantee event has occurred or the Long-Term Guarantee is invoked.
3.8. Extended payment terms: Deviating from Sec. 3.2 sentence 1 TCD, invoice amounts arising from Purchase Agreements shall be paid within thirty (30) calendar days of delivery of the Goods to the Member or a Third Party designated by the Member and receipt of the invoice by the Member, irrespective of who dispatches the Goods. Sec. 3.2 sentences 2 and 3 TCD shall remain unaffected. The granting of the extended payment term is subject to a positive credit check. Conrad may revoke the extended payment term with effect for future Purchase Agreements by corresponding notice to the Member in text form to the extent that the Member's creditworthiness deteriorates materially after conclusion of the Participation Agreement. Details of the data processing carried out in connection with the credit check are set out in Conrad's privacy policy at https://www.conrad.de/de/ueber-conrad/rechtliches/datenschutz.html.
3.9. Service Contact: Enquiries of the Member made via the Conrad PRO service contact established for this purpose shall be processed with priority. Service hours are Monday to Friday from 08:00 to 17:00, except on public holidays at the seat of Conrad.
4. Trial period
4.1. The Member may use the PRO Benefits free of charge for one hundred twenty (120) calendar days from receipt of the confirmation under Sec. 2.1 sentence 3 ("Trial Period"). During the Trial Period, the PRO Benefits shall be available to the Member in the full scope determined in Sec. 3.
4.2. The Trial Period shall only be granted to Members who have not made use of a Trial Period in the twenty-four (24) months preceding submission of their offer under Sec. 2.1 sentence 2.
4.3. The Member may terminate the Participation Agreement at any time during the Trial Period without stating reasons and without observing a notice period. In this case, the Participation Agreement shall end upon expiry of the Trial Period; no membership fee shall be incurred.
4.4. Conrad shall notify the Member by e-mail in good time before expiry of the Trial Period of the forthcoming transition to the paid membership and of the membership fee payable.
4.5. If the Participation Agreement is not terminated by the expiry of the Trial Period, the membership shall become subject to a charge upon expiry of the Trial Period. Sec. 5 shall then apply.
5. Term and termination of the Paid Membership
5.1. The paid membership is concluded for an initial term of one (1) year from expiry of the Trial Period. It shall thereafter be extended for an indefinite period unless it is terminated in accordance with Sec. 5.2.
5.2. Both Parties may terminate the Participation Agreement by ordinary notice with a notice period of one (1) month to the end of the initial term and thereafter at any time with a notice period of one (1) month to the end of a calendar month.
5.3. The right of both Parties to terminate for good cause (Sec. 314 of the German Civil Code (BGB)) shall remain unaffected. Good cause for Conrad shall exist in particular where
a) the Member is in default with due payments despite a reminder and the setting of a reasonable period;
b) the Member breaches Sec. 6;
c) PRO Benefits are utilised fraudulently or otherwise abusively; or
d) the requirements under Sec. 1.2 cease to be fulfilled after conclusion of the Participation Agreement.
5.4. Notice of termination shall be given in text form; for the Member, a declaration via the customer account or via the termination button provided on Conrad's website shall also suffice. Conrad shall confirm receipt of a termination by the Member in text form without undue delay.
5.5. Upon the termination taking effect, the Member's claim to the PRO Benefits shall lapse. Purchase Agreements concluded before the termination takes effect, reservations confirmed under Sec. 3.4 as well as the Right of Return under Sec. 3.6 for Goods delivered on the basis of a Purchase Agreement concluded before the termination takes effect shall remain unaffected; regarding the Long-Term Guarantee under Sec. 3.7, Sec. 3 para. 1 sentence 2 shall apply. Membership fees already paid shall not be refunded, unless the termination is based on a breach of duty for which Conrad is responsible.
6. Use of the Conrad PRO Programme
6.1. The Member may utilise the PRO Benefits exclusively for the Member's own business or commercial operations and through the Member's employees. The utilisation of the PRO Benefits for the purpose of reselling the Goods or of dispatching Goods to the Member's own or potential customers is not permitted. Sec. 4.6 sentence 2 TCD shall remain unaffected.
6.2. The Member shall take the necessary precautions to prevent abusive utilisation of the PRO Benefits. The Member shall inform Conrad in text form without undue delay as soon as the Member becomes aware of any indications of abusive utilisation. The Member shall be liable for abusive utilisation by Third Parties to the extent that the Member is responsible for such utilisation.
7. Membership Fee and Payment Terms
7.1. The amount of the membership fee, the available membership models and the associated terms are set out in the price offer valid at the time of conclusion of the Participation Agreement at https://www.conrad.de/de/service/conrad-pro.html. All prices are net of value-added tax under applicable law. The Member may view details of the membership, of the membership fee and of its next due date in the customer account.
7.2. The membership fee shall be invoiced in advance at the beginning of each billing period. The payment methods available are the options offered by Conrad on the website. Payment by cheque is excluded unless separately agreed in an individual case.
7.3. Conrad shall make the invoices available electronically in PDF format for retrieval in the Member's customer account.
7.4. Invoice amounts arising from the Participation Agreement shall be paid within fourteen (14) calendar days of receipt of the invoice by the Member. The invoice amount shall bear interest at the default interest rate under applicable law starting from the date of default. Conrad's right to demand compensation for further damage caused by such default shall remain unaffected.
7.5. If the payment method stored by the Member becomes invalid or if a charge is declined for a reason for which Conrad is not responsible, Conrad shall inform the Member thereof and request the Member to provide a valid payment method. If the Member does not provide a valid payment method within thirty (30) calendar days of receipt of such request, Conrad shall be entitled to terminate in accordance with Sec. 5.3.
7.6. The Member may only set off counterclaims or withhold payments based on counterclaims to the extent that such counterclaims are undisputed or have been established in a final and unappealable decision or arise from the same contractual relationship under which the relevant payment is owed. Sec. 3.3 TCD shall remain unaffected in respect of Purchase Agreements.
8. Liability
Sec. 7 TCD shall apply accordingly to the liability of Conrad arising from and in connection with the Participation Agreement.
9. Amendments to these Terms of Participation, to the Scope of Services and to the Membership Fee
9.1. Conrad shall be entitled to amend these Terms of Participation to the extent that the amendment leaves material provisions of the Participation Agreement unaffected, the amendment is necessary in order to adapt to developments that were not foreseeable at the time the Participation Agreement was concluded, and the failure to take such developments into account would noticeably disturb the balance of the Participation Agreement. Material provisions within this meaning are, in particular, provisions concerning the nature and scope of the services and concerning the term, including termination.
9.2. Conrad shall be entitled to amend the scope of services to the extent that this is necessary for a valid reason, the Member is objectively not placed in a worse position as a result and there is no material deviation from the scope of services. A valid reason shall exist to the extent that the scope of services is adapted to technical developments, Third Parties from which Conrad obtains the input services necessary for the provision of its services change their range of services, or statutory provisions or court decisions necessitate a restriction or an extension of the scope of services.
9.3. Conrad shall be entitled to increase the membership fee to the extent that this serves to pass on increased costs incurred by Conrad in connection with the provision of the services under this Participation Agreement, in particular as a result of a price increase by Third Parties from which Conrad obtains necessary input services. Conrad shall be obliged to reduce the membership fee to a corresponding extent to the extent that the relevant costs decrease. Cost increases and cost reductions shall be set off against each other.
9.4. Conrad shall notify the Member of intended amendments under Sec. 9.1 to Sec. 9.3 at least one (1) month before they take effect by e-mail to the e-mail address provided by the Member. The Member shall have a special right of termination effective as at the date on which the amendment takes effect. If the Member does not terminate in text form within one (1) month of receipt of the notice of amendment, the amendments shall become part of the contract as at the date on which they take effect. In the notice of amendment, Conrad shall separately draw the Member's attention to the period, the special right of termination and the consequence of silence.
10. Confidentiality
10.1. All not publicly known prices, discounts and other commercial terms as well as the content of the Participation Agreement, disclosed by Conrad, or at Conrad's instigation, to the Member in connection with the Participation Agreement ("Confidential Information"), shall be treated as confidential by the Member for a period of five (5) years after termination of the Participation Agreement. The Member may only disclose Confidential Information to Third Parties during this period to the extent that it cannot be recognised that such Confidential Information originates from Conrad. There shall be no obligation to confidentiality
a) vis-à-vis affiliated entities of the Member, provided that the Member ensures that such affiliated entities are bound to the same confidentiality as the Member itself (the Member being liable for any breaches of the confidentiality obligation by any of its affiliated entities in the same manner as for its own breaches);
b) vis-à-vis courts and public authorities, to the extent there is a legal obligation to disclose Confidential Information; or
c) to the extent that Confidential Information has become publicly known through no fault of the Member nor of any of its affiliated entities to which the Member has disclosed such Confidential Information.
10.2. Sec. 11.1 TCD shall remain unaffected in respect of Purchase Agreements. To the extent that information falls under both this Sec. 10 and Sec. 11.1 TCD, the longer confidentiality period shall apply.
11. Data Protection
11.1. Conrad shall process the Member's personal data exclusively for the purpose of performing the Participation Agreement as well as on the basis of other statutory grounds permitting such processing under Regulation (EU) 2016/679 (GDPR) and the German Federal Data Protection Act (BDSG).
11.2. Details of the data processing, in particular regarding the purpose, legal basis, storage period and the rights of the data subjects (access, rectification, erasure, restriction of processing, data portability and objection), are set out in Conrad's privacy policy at https://www.conrad.de/de/ueber-conrad/rechtliches/datenschutz.html.
12. Customer Service
For questions regarding the Conrad PRO Programme, Conrad's customer service is available at kundenservice@conrad.de
13. Final Provisions
13.1. Headings contained in these Terms of Participation are merely for convenience and irrelevant for the interpretation of these Terms of Participation.
13.2. The Participation Agreement (including its preceding negotiations) and these Terms of Participation shall be exclusively governed by, and construed in accordance with, the substantive law of the country in which Conrad has its seat. The conflict-of-law rules of that country and the United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980 (CISG) shall not apply.
13.3. The exclusive – including international – place of jurisdiction for all disputes arising out of or in connection with the Participation Agreement or these Terms of Participation, including regarding their respective validity and quasi-contractual or non-contractual claims, shall be – subject to the two following sentences – the seat of Conrad. Conrad is entitled to bring an action at the general place of jurisdiction of the Member. Conflicting mandatory law, in particular with respect to exclusive places of jurisdiction, shall remain unaffected.
13.4. Should any existing or future provision of the Participation Agreement, in whole or in part, violate mandatory law or be or become invalid for any other reason, the validity of the remainder of the Participation Agreement shall remain unaffected. The preceding sentence shall apply accordingly to these Terms of Participation. Should the Participation Agreement in its existing or future version contain any gaps (including as a result of the invalidity of any provisions contained in the Participation Agreement), those legally valid provisions shall be deemed agreed to fill such gaps which the Parties would have agreed upon according to the economic objectives and the purpose of the Participation Agreement had the Parties been aware of the gap. The preceding sentence shall apply accordingly to these Terms of Participation.

5.2. The membership may be terminated by either party with one month's notice to the end of the initial term, and thereafter at any time with notice to the end of the month.
5.3. The right to terminate the contract for cause (Section 314 of the German Civil Code (BGB)) remains unaffected. A valid reason for Conrad exists in particular if
- the member is in arrears with due payments despite a reminder and the setting of a deadline, or
- it is established that (a) the members’ use of the PRO program breaches these terms and conditions (in particular clause 2.5) or applicable laws, or (b) that PRO benefits are being used fraudulently or abusively.5.4. 9.1. Conrad processes the member’s personal data exclusively for the purpose of fulfilling the contract and because of other legal grounds for processing in accordance with the General Data Protection Regulation (GDPR) and the Federal Data Protection Act (BDSG).
9.2. Details regarding data processing, particularly the purpose, legal basis, storage period and the member’s data subject rights (right of access, rectification, erasure, restriction, data portability, objection), can be found in the privacy policy of conrad.de.
10. Changes to the Terms and Conditions, prices and services
10.1. Conrad is entitled to amend these terms and conditions of participation provided that this does not affect the essential provisions of the contractual relationship, the amendment is necessary to adapt to developments that were unforeseeable at the time the contract was concluded, and failure to take such developments into account would significantly disrupt the balance of the contractual relationship. “Essential provisions” in this context are those relating to the nature and scope of the contractually agreed subject matter of the service and the term of the contract, including the provisions on termination.
10.2. Conrad is entitled to amend the subject matter of the service provided, if this is necessary for a valid reason, that the member is not objectively placed in a worse position as a result, and that the amendment does not deviate significantly from the subject matter of the service. A “valid reason” for modifying the scope of services in this sense exists where the scope of services is adapted to technical developments, where third parties from whom Conrad obtains the inputs necessary to provide its services change their service offering, or where statutory provisions or court rulings necessitate a restriction or extension of the scope of services.
10.3. Conrad is entitled to increase the agreed remuneration if this is done to pass on increased costs to the members. The right to adjust prices applies in particular where third parties, from whom Conrad obtain the input services necessary to provide the services owed under this contract increase their prices. Furthermore, Conrad is entitled to adjust prices accordingly in the event of an increase in VAT.
10.4. Any changes to the terms and conditions of participation, the scope of services and the remuneration intended under clauses 10.1 to 10.3 shall be notified to the Member by email to the email address provided by the Member at least one month before they take effect. The Member shall have a special right of termination upon the changes taking effect. If the Member does not give written notice of termination within one month of receiving the notification of changes, the changes shall become part of the contract upon taking effect. The Member shall be specifically informed of this consequence in the notification of changes.
11. Customer Service
If you have any further questions, please contact Conrad Customer Service: kundenservice@conrad.de
12. Dispute Resolution
Conrad is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
13. Final provisions
13.1. Should any provision of these Terms and Conditions be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected (Section 306 of the German Civil Code). The invalid provision shall be replaced by the applicable statutory law.
13.2. There are no verbal side agreements. Amendments and additions must be made in writing.
13.3. German law applies exclusively to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). Consumers whose habitual residence is in another EU Member State continue to enjoy the protection of mandatory consumer protection provisions of their home country.
